Definitions

Throughout these Terms, the following definitions apply:

About the Platform

Xperoc is a South African digital service directory and discovery infrastructure. Our Platform provides a structured environment in which service providers can create and manage listings, and in which clients can search, browse and make contact with those providers.

Xperoc is a directory platform — not a marketplace. We do not process payments between users, facilitate or oversee service transactions, enter into contracts on behalf of any party, or guarantee the quality, safety or outcome of any service provided through a connection made on the Platform.

Acceptance of These Terms

By accessing, registering on or using the Platform in any way, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

These Terms apply to all users of the Platform, including visitors who browse without registering, registered account holders, service providers who create listings, and clients who use the Platform to find service providers.

Where the Platform is used on behalf of a business or other entity, the individual accepting these Terms confirms that they have the authority to bind that entity to these Terms.

Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements under South African law
• Not be prohibited from using the Platform under any applicable law or regulation
• Provide accurate and truthful information when registering or creating a listing

Xperoc reserves the right to refuse access or to terminate accounts where these eligibility requirements are not met, without notice or liability.

User Accounts

Registration

Certain features of the Platform require you to create an account. When registering, you agree to provide accurate, current and complete information and to update that information as necessary to ensure it remains accurate.

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Xperoc promptly if you become aware of any unauthorised use of your account.

One Account Per Person

Each individual or business entity may maintain one active account on the Platform. Creating duplicate or fraudulent accounts is a violation of these Terms and may result in immediate termination.

Account Integrity

You may not share your account credentials with others, transfer your account to another person, or use another user’s account without their explicit permission. Xperoc accepts no responsibility for losses arising from account misuse where you have failed to take reasonable security precautions.

Listings and Service Provider Profiles

Creating a Listing

Service providers may create listings on the Platform to promote their services. By creating a listing, you represent and warrant that all information provided is accurate, truthful and not misleading, that you have the legal right to offer the services described, and that your services comply with all applicable South African laws and regulations.

Public Visibility

You acknowledge and agree that the information you include in your listing — including your business name, service description, location and contact details — will be publicly visible to all users of the Platform and may be indexed by search engines. Do not include information in your listing that you do not wish to be publicly accessible.

Listing Content Standards

Your listing must not include:

• False, misleading or exaggerated claims about your services, qualifications or experience
• Content that infringes the intellectual property rights of any third party
• Contact details, links or references that redirect users away from the Platform for the purpose of circumventing Xperoc’s terms
• Promotional content for services that are unlawful, harmful, discriminatory or offensive
• Information belonging to another individual or business that you do not have the right to use

Listing Accuracy

You are solely responsible for ensuring the accuracy and currency of your listing. Xperoc does not independently verify listing content beyond the verification features available on the Platform. We reserve the right to remove or modify any listing that we determine, in our sole discretion, violates these Terms or is otherwise inappropriate for the Platform.

Free Access

Basic listing access on Xperoc is provided free of charge. Where premium features or enhanced visibility options are introduced, the applicable terms will be communicated clearly and separately. Xperoc reserves the right to introduce, modify or discontinue any features or pricing at any time, with reasonable notice where practicable.

Reviews and Ratings

Submission of Reviews

Users who have engaged with a service provider may submit reviews and ratings through the Platform. By submitting a review, you confirm that it is based on your genuine, first-hand experience, that it is accurate and honest to the best of your knowledge, and that it does not contain false, defamatory, threatening or discriminatory content.

Review Standards

Reviews must not be submitted by or on behalf of the service provider being reviewed, by individuals acting in bad faith or for commercial gain, or in exchange for any benefit, payment or inducement. Fake or incentivised reviews are a violation of these Terms.

Moderation

Xperoc reserves the right to moderate, remove or decline to publish any review that it reasonably considers to be in violation of these Terms or otherwise inappropriate. We are not obligated to remove reviews that are unfavourable to a service provider where those reviews comply with these Terms.

No Endorsement

Reviews published on the Platform represent the views of the individual submitting them and do not represent the views of Xperoc. We do not endorse or verify the accuracy of reviews and accept no liability for their content.

Acceptable Use

You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use and enjoyment of the Platform.

Without limiting the above, you must not:

• Use the Platform to transmit spam, unsolicited communications or bulk advertising
• Scrape, harvest or collect data from the Platform without our prior written consent
• Use automated tools, bots or scripts to access or interact with the Platform
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Attempt to gain unauthorised access to any part of the Platform, its systems or any accounts other than your own
• Upload or transmit viruses, malware or any other code designed to disrupt, damage or interfere with the Platform
• Use the Platform to facilitate fraud, deception or any unlawful scheme
• Post content that is defamatory, obscene, threatening, hateful or otherwise objectionable
• Use another user’s personal information for purposes beyond connecting in good faith through the Platform
• Circumvent or attempt to circumvent any security, access control or verification feature of the Platform

Xperoc’s Role and Limitations

Xperoc operates as a neutral digital infrastructure and directory. Our role is to provide the Platform through which service providers can be discovered and through which clients can make contact with them. Beyond this, our involvement ends.

Specifically, Xperoc:

• Does not employ, contract or act as agent for any service provider listed on the Platform
• Does not screen, verify or guarantee the qualifications, licences, skills or reliability of any service provider beyond the verification features available on the Platform
• Does not supervise, oversee or have any involvement in the performance of any services arranged through connections made on the Platform
• Does not process, hold or facilitate any payments between users and service providers
• Is not responsible for any dispute, loss, damage, injury or claim arising from a service engagement arranged through the Platform
• Does not guarantee that any listing, review or content on the Platform is accurate, complete or current

Intellectual Property

Xperoc’s Intellectual Property

The Platform, including its design, structure, code, features, branding, trademarks and all content created by Xperoc, is the intellectual property of Xperoc and is protected under applicable South African and international intellectual property law. You may not copy, reproduce, modify, distribute or create derivative works from any part of the Platform without our prior written consent.

User Content

You retain ownership of the content you submit to the Platform, including your listing information, images and reviews. By submitting content to the Platform, you grant Xperoc a non-exclusive, royalty-free, worldwide licence to use, display, reproduce and distribute that content on the Platform and in connection with the promotion of the Platform, for as long as the content remains on the Platform.

You represent and warrant that you have the right to submit all content you provide and that such content does not infringe the intellectual property rights of any third party.

Feedback

If you provide Xperoc with feedback, suggestions or ideas regarding the Platform, you agree that we may use such feedback without any obligation to compensate you or to keep it confidential.

Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, Xperoc disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose or non-infringement
• Any warranty that the Platform will be uninterrupted, error-free, secure or free from viruses or harmful components
• Any warranty as to the accuracy, completeness, reliability or currency of any content on the Platform
• Any warranty as to the quality, safety, suitability or legality of any service provider listed on the Platform or any services they provide

Your use of the Platform and any reliance on its content is entirely at your own risk.

Limitation of Liability

To the fullest extent permitted by applicable law, Xperoc, its operators, directors, employees and affiliates shall not be liable for any direct, indirect, incidental, special, consequential or punitive damages arising from or related to:

• Your use of or inability to use the Platform
• Any content submitted by users on the Platform, including reviews, listing information or communications
• Any service engagement or dispute arising from a connection made through the Platform
• Unauthorised access to or alteration of your account, listings or content
• Any interruption, suspension or discontinuation of the Platform or any of its features
• Any errors, inaccuracies or omissions in Platform content

Indemnification

You agree to indemnify, defend and hold harmless Xperoc and its operators, directors, employees and affiliates from and against any claims, liabilities, damages, losses, costs or expenses (including reasonable legal fees) arising from or related to:

• Your use of the Platform in violation of these Terms
• Content you submit to the Platform that infringes the rights of any third party or violates any applicable law
• Any dispute between you and another user of the Platform, including disputes arising from a service engagement
• Any misrepresentation made by you in connection with your use of the Platform or your listing

Suspension and Termination

By Xperoc

Xperoc reserves the right to suspend, restrict or permanently terminate your access to the Platform at any time, with or without notice, where we reasonably determine that you have violated these Terms, your account or listing poses a risk to the Platform or other users, or your conduct is inconsistent with the integrity and purpose of the Platform.

By You

You may close your account and remove your listing at any time by following the account management process available on the Platform or by contacting us directly. Removal of a listing does not guarantee the immediate removal of cached or indexed content held by third-party search engines.

Effect of Termination

Upon termination, your right to access and use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination — including those relating to intellectual property, disclaimers, limitations of liability and indemnification — shall continue to apply.

Third-Party Links and Services

The Platform may contain links to third-party websites, tools or services. These links are provided for reference and convenience only. Xperoc does not endorse, control or accept any responsibility for the content, privacy practices, terms or availability of any third-party platform.

Your use of any third-party platform is governed by its own terms and conditions, and any concerns arising from such use should be directed to the relevant third party. Xperoc accepts no liability for any loss or damage arising from your interaction with third-party platforms accessed through or in connection with Xperoc.

Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the South African courts.

Before initiating formal legal proceedings, we encourage you to contact us directly to attempt to resolve any concern informally. We will make reasonable efforts to address legitimate concerns in a timely and constructive manner.

Amendments to These Terms

Xperoc reserves the right to update or modify these Terms at any time. When material changes are made, we will update the “Last Updated” date at the top of this document and, where reasonably practicable, provide notice through the Platform.

Your continued use of the Platform following any amendment constitutes your acceptance of the revised Terms. If you do not agree to the amended Terms, you should discontinue use of the Platform. We recommend reviewing these Terms periodically to remain informed of your rights and obligations.

We aim to respond to all legitimate enquiries within a reasonable timeframe. For consumer-related concerns that cannot be resolved directly with us, you may approach the National Consumer Commission or seek advice from an appropriate legal authority in South Africa.
